Keyword Insights Affiliate Program Terms and Conditions

Effective Date: 10 July 2021

These Affiliate Program Terms and Conditions (“Agreement”) govern your participation in the Keyword Insights Affiliate Program (“Program”) offered by Snippet Digital (“Company”, “we”, “us”, “our”). By participating in this Program, you (“Affiliate”, “you”) agree to the following terms:

1. Program Overview

Our Affiliate Program allows registered users to earn a commission by promoting Snippet Digital software products (“Products – “Keyword Insights AI””) through unique referral links or codes.

2. Eligibility

To participate in our Program, you must:

• Be 18 years of age or older
• Have a registered account with Keyword Insights
• Have a valid payment method
  

3. Commissions

• Commission Rate: Affiliates will earn a commission of 20% on each referred sale.
• Commission duration: Affiliates will earn a recurring commission of 20% on subscriptions as long the customer(s) have an active subscription.
• Commission duration: Commissions will be automatically adjusted when a customer cancels/downgrades/receives a refund.
• Payment Threshold: Commissions will be paid monthly 15 days from the end of the month, once your total balance reaches a minimum of $100.
• Payment Method: Payments will be made via Wise, Paypal or Local bank transfer.
• Payout methods: Partner payouts can be sent to over 150 countries in 60+ currencies via local bank transfers (ACH, SEPA, BACS, FAST, FPS, etc.) PayPal, Wise, or wire transfers.
• Payout Fees: Fees range from 0% to 2%, are covered by the partners based on the selected payout method.
• Refunds/Chargebacks: If a referred sale is refunded or subject to a chargeback, the corresponding commission will be deducted from your balance.
  

We reserve the right to delay or withhold payments if we suspect fraudulent activity, violations of this Agreement, or inaccuracies in reported sales.

4. Promotion Guidelines

Affiliates may promote Keyword Insights through their website, social media, email campaigns, and other marketing channels.

However, you must comply with the following:

Prohibited Conduct

• No spam or unsolicited messaging
• No false, misleading, or deceptive advertising
• No bidding on branded keywords (e.g. keyword insights, keyword insights review) or variations thereof
• No promotion on adult, hate speech, violent, or illegal content
• No violation of intellectual property rights
• No cookie stuffing or using fake traffic, bots, or automated means
• No self-referrals or referring customers using your own referral link for personal purchases
• No impersonation of Snippet Digital or its employees
  

We reserve the right to determine what constitutes prohibited conduct on a case-by-case basis.

5. Relationship of Parties

You participate in this Program as an independent contractor.

Nothing in this Agreement creates a partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Snippet Digital. You are solely responsible for your business operations, taxes, and legal compliance.

6. Intellectual Property

• You are granted a limited, revocable, non-exclusive, non-transferable license to use marketing materials provided or approved by Snippet Digital for the sole purpose of promoting our Products.
• All intellectual property rights in our Products, brand names, trademarks, and content remain the exclusive property of Snippet Digital.
• You may not alter, modify, or create derivative works of our materials without prior written consent.
  

7. Program Changes and Termination

We reserve the right to:

• Modify, suspend, or terminate this Program at any time
• Change the commission structure, payout percentages, terms, or any part of this Agreement at any time
  

Such changes may be made without prior notice.

Your continued participation in the Program constitutes acceptance of any such changes.

You may terminate your participation in the Program at any time by providing us with written notice.

We may terminate your participation at any time, with or without cause, and with or without notice.

Upon termination, all licenses granted to you under this Agreement will be revoked and you must immediately cease use of our materials.

8. Right to Audit

We reserve the right to review and audit your promotional methods and compliance with this Agreement at any time.

Failure to cooperate with an audit or provide requested information may result in termination of your account and forfeiture of earned commissions.

9. Liability

We will not be liable for any indirect, special, incidental, or consequential damages (including loss of revenue, profits, or data) arising out of or in connection with this Program.

Your participation is at your own risk. We make no warranties or representations regarding the operation or availability of the Program.

10. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of United Kingdom.

Any disputes arising out of or in connection with this Agreement shall be resolved through binding arbitration under the rules of the United Kingdom.

You waive your right to participate in any class action or class-wide arbitration.

11. Survival

Sections relating to Intellectual Property, Liability, Governing Law, and Relationship of Parties shall survive the termination of this Agreement.
